Explanation of Responses:

1. 40,000 Restricted Stock Units were granted on January 21,2010 and 25% of the Restricted Stock Units vest ech year, beginning on the first anniversary of the grant date. Upon vesting of each Restricted Stock Unit, the Company is obligated to issue one share common stock.

2. Includes 53,750 Restricted Stock Units that were not vested as of the date of this Form 4. A report on Form 4 filed by the reporting person on May 14, 2008 inadvertently omitted 31,874 shares of common stock that had been sold by the reporting person on May 12, 2008 following an option exercise reported on that Form 4. The reporting person has filed separately a corrected Form 4 reporting that sale. The total reported in this amended Form 4 reflects the deduction of such 31,874 shares from the total held by the reporting person.
